Abstract:
This volume includes an introduction to key concepts and comments
on the interpretation of and case law on Articles 25-35(c) of Law 2190/1920
(as currently in force) with respect to the General Meeting of shareholders
of a company limited by shares. As the law stands, the general meeting of
shareholders constitutes a fundamental structural element ensuring stability
and the supreme decision-making body of the corporate legal person. At the
same time, it exercises corporate management, and therefore its resolutions fall
within the purpose of the company and acquire their meaning thereby. This
edition is an attempt at a systematic and consistent interpretation of the Articles
on the general meeting. The provisions of this chapter are seen primarily as
an integral part of the private law rules on companies limited by shares, as in
force, irrespective of legislative patterns followed by the relevant legislator with
respect to Law 2190/1920 (as currently in force).
