Abstract:
This book is a thorough and comprehensive study of important
issues arising in the context of Company Law, pursuant to Greek Codified Law
No. 2190/1920, as in force. The volume consists of two parts. The first part
addresses the fundamental principles governing the Law of Company limited
by shares, such as the scope, objective, key elements and content, all in the
light of modern trading practices. The second part comprises an article-by-article
legal interpretation of General Provisions (Art. 1-17b) of Codified Law No.
2190/1920, where basic elements and ground rules governing the overall range
of a Company limited by shares (incorporation-function-dissolution-liquidation)
are set out. Following the structure of respective provisions, this chapter
constitutes an in-depth legal analysis with regard to key aspects, such as -inter
alia- corporate personality, membership of company, statute, registered office,
share capital, share types, corporate governance, shareholder liability, etc. An
extra chapter (Annex B) dealing with such issues both from international and
EU perspective contributes a significant value herein. In conjunction with the
previous volumes on General Meeting (2016) and Board of Directors (2015),
this book constitutes an additional contribution of great relevance to the overall
study of Company Law. Comprehensive and up-to-date references to general
