Abstract: The first objective of this study is to highlight the rise of
corporate governance in the last decades and the reasons thereof, the
way its rules have been integrated in the legal system, as well as the
trend of a gradual juridification of its rules, especially following the
international financial crisis (2007-2009). The second objective of the
study is to examine how the operation of the board of directors of a
limited liability company -and in particular of a listed one- is affected
by corporate governance rules.
